Agreement

By creating an account or using SearchLens, you agree to these Terms of Service. If you do not agree, do not use the service. These terms constitute a binding agreement between you and SearchLens, LLC, a Connecticut limited liability company.

The Service

SearchLens provides automated financial analysis and deal pipeline tools designed specifically for search fund entrepreneurs evaluating potential acquisitions. The service normalizes financial data, scores deals against user-defined criteria, and provides structured investment memos and pipeline tracking. SearchLens is a pre-LOI triage tool. It is not a substitute for professional financial, legal, or investment advice.

Not Investment Advice

Nothing generated by SearchLens constitutes investment advice, financial advice, or a recommendation to buy, sell, or acquire any business. All outputs are generated by AI-powered software using large language models and are provided for informational purposes only. You are solely responsible for any investment or business decisions you make. SearchLens, LLC assumes no liability for decisions made based on outputs from the service.

Acceptable Use

You may use SearchLens only for lawful purposes and in connection with legitimate business evaluation activities. You may not:

• Use SearchLens to process documents you do not have the right to upload
• Attempt to reverse-engineer or extract the underlying analysis methodology
• Resell or redistribute outputs from the service without permission
• Interfere with the operation of the service

Credits and Payment

SearchLens operates on a credit-based system. Credits are purchased through Stripe and are non-refundable except at our discretion. One credit equals one deal analysis. Credits do not expire. Monthly subscription plans include a set number of credits per billing period. Unused credits above the stated rollover cap expire at the end of each billing period. Subscriptions auto-renew monthly and may be cancelled at any time; cancellation takes effect at the end of the current billing period. All prices are in USD.

Confidentiality

All uploaded documents are treated as confidential. Raw document contents are processed by Anthropic’s API solely to generate your analysis — Anthropic’s API terms prohibit using this data for model training. Raw documents are deleted after analysis is complete and are never accessible to other users. SearchLens may use anonymized, aggregated metrics derived from completed analyses — such as normalized EBITDA ranges, margin profiles, and industry classifications — to develop proprietary benchmarks and improve the service. This derived data cannot be traced back to any specific document, company, or user.

Aggregate Data and Benchmarks

Anonymized benchmarks derived from aggregated analysis outputs may be used to improve analysis quality and provide industry-specific context within the service. No personally identifiable information, company names, or document contents are included in any benchmark data. You retain all rights to your uploaded documents and individual analysis outputs.

Intellectual Property

SearchLens, the SearchLens logo, and the underlying analysis methodology are the property of SearchLens, LLC. Outputs generated by SearchLens based on your uploaded documents are yours to use. You retain all rights to documents you upload.

Limitation of Liability

To the maximum extent permitted by law, SearchLens, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability to you for any claim arising from these terms or your use of the service shall not exceed the amount you paid to SearchLens in the 12 months preceding the claim.

Termination

We reserve the right to suspend or terminate accounts that violate these terms. You may cancel your account at any time. Upon termination, your access to the service will cease and unused credits will be forfeited except at our discretion.

Governing Law

These terms are governed by the laws of the State of Connecticut. Any disputes shall be resolved in the courts of Connecticut.
